Keystone End User
License Agreement

This End User License Agreement (the “Agreement”) is between Steinforth Studio (“Keystone”, “we”) and the individual or firm completing a purchase or installing the software (“you”, the “Customer”). By purchasing, installing, or using the Keystone desktop application (the “Software”), you agree to these terms.

1. License, not sale

The Software is licensed, not sold. Subject to payment and these terms, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software for your internal business or professional purposes. All rights not expressly granted are reserved by Steinforth Studio. Purchases are processed by Polar as merchant of record.

2. Seats, activations and firm use

• Licenses are per seat (one named user). Each seat may activate the Software on up to two (2) machines, with self-service deactivation.
• Firm packs (3 / 5 / 10 / 25+ seats) form an admin-owned license pool assignable to named users within the purchasing firm only.
• You may not resell, rent, lease, sublicense, or share licenses or license keys, and may not operate a shared license pool beyond your firm's purchased entitlement.

3. Restrictions

You may not, and may not permit anyone to:

• reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, models, solver logic, prompts, or datasets;
• extract, replicate, or train on the Software's internal prompt chains, evaluation sets, scoring weights, or knowledge-base content (“model extraction”);
• circumvent or disable licensing, entitlement, activation, or update-channel checks;
• use the Software to build a directly competing product using our non-public methods.

4. Your data stays yours

• You own your project data. Steinforth Studio claims no ownership over your project files, drawings, models, documents, or the outputs you generate for your own projects.
• Project files are processed locally on your machine by default. We do not receive them.
• Keystone does not train global or shared models on customer data. Any firm-data training or private firm-brain work requires a separate written data license signed by you.
• You warrant that you have the rights to any files you upload or process — including client files, drawings, specifications, contracts, photographs, emails, and construction-administration records — and you will indemnify Steinforth Studio against claims arising from data you had no right to process.

5. Professional use disclaimer — not for permit

Keystone is a design-assist and feasibility tool. It does not provide architectural or engineering services, does not stamp or seal drawings, and does not guarantee code or zoning compliance. Outputs are schematic unless reviewed, corrected, and sealed by a licensed professional of record. Nothing in the Software constitutes structural, MEP, legal, tax, or financial advice.

You agree not to submit unreviewed Software output for permit, bidding, or construction, and to have all life-safety, code, and zoning decisions verified by a licensed professional.

6. Bring-your-own API keys and third-party services

The Software connects to third-party AI-model and data providers using your own accounts and API keys. You are responsible for those providers' terms, privacy practices, and costs. Steinforth Studio does not proxy, hold, or resell third-party model access, and is not responsible for third-party availability, pricing, or output. Public data sources (e.g. OSM, FEMA, USGS) may change or become unavailable; the Software's data-dependent features are provided without guarantee of source continuity.

7. Updates, versions and subscriptions

• Your perpetual license permanently covers the major version purchased (plus a 12-month courtesy update window).
• Ongoing feature updates, new agents, and premium Quick Actions are delivered through the Studio and Frontier subscription channels while active. Canceling a subscription never disables your licensed version — it stops new updates.
• Quick-Action packs are one-time purchases with 12 months of updates and full price-credit toward a license within 12 months.

8. Telemetry — opt-in only

Usage telemetry is off by default and strictly opt-in at first run. When enabled it covers feature-usage events and diagnostics only and excludes project content (no drawings, no addresses, no prompts, no client data) by default. You can disable it at any time in settings.

9. Custom development

Custom tools and agents built under a statement of work are licensed to you for use. Unless the statement of work expressly says otherwise, reusable platform code, generalized methods, and non-client-specific tooling remain Steinforth Studio IP; your firm-specific data, standards, and content remain yours.

10. Acceptable use

You may not use the Software for unlawful purposes, to process data you have no right to process, to violate third-party provider terms, or to misrepresent AI-generated output as sealed professional work product.

11. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF OUTPUT, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY CONTAIN ERRORS AND MUST BE INDEPENDENTLY VERIFIED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEINFORTH STUDIO'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS CAPPED AT THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR PROFESSIONAL-LIABILITY CLAIMS ARISING FROM RELIANCE ON UNREVIEWED OUTPUT.

13. Indemnity

You will defend and indemnify Steinforth Studio against third-party claims arising from (a) data you uploaded or processed without the right to do so, (b) your violation of third-party provider terms, or (c) submission of unreviewed output for permit, bidding, or construction.

14. Termination

This license terminates automatically if you materially breach Sections 2, 3, or 10 and do not cure within 30 days of notice. On termination you must deactivate and delete your installations. Sections 4–5 and 11–13 survive.

15. General

This Agreement is the entire agreement regarding the Software and supersedes prior discussions. We may update these terms for future versions; the terms you accepted govern the version you licensed.
