This End User License Agreement (the “Agreement”) is between Steinforth Studio (“Keystone”, “we”) and the individual or firm completing a purchase or installing the software (“you”, the “Customer”). By purchasing, installing, or using the Keystone desktop application (the “Software”), you agree to these terms.
The Software is licensed, not sold. Subject to payment and these terms, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software for your internal business or professional purposes. All rights not expressly granted are reserved by Steinforth Studio. Purchases are processed by Polar as merchant of record.
You may not, and may not permit anyone to:
Keystone is a design-assist and feasibility tool. It does not provide architectural or engineering services, does not stamp or seal drawings, and does not guarantee code or zoning compliance. Outputs are schematic unless reviewed, corrected, and sealed by a licensed professional of record. Nothing in the Software constitutes structural, MEP, legal, tax, or financial advice.
You agree not to submit unreviewed Software output for permit, bidding, or construction, and to have all life-safety, code, and zoning decisions verified by a licensed professional.
The Software connects to third-party AI-model and data providers using your own accounts and API keys. You are responsible for those providers' terms, privacy practices, and costs. Steinforth Studio does not proxy, hold, or resell third-party model access, and is not responsible for third-party availability, pricing, or output. Public data sources (e.g. OSM, FEMA, USGS) may change or become unavailable; the Software's data-dependent features are provided without guarantee of source continuity.
Usage telemetry is off by default and strictly opt-in at first run. When enabled it covers feature-usage events and diagnostics only and excludes project content (no drawings, no addresses, no prompts, no client data) by default. You can disable it at any time in settings.
Custom tools and agents built under a statement of work are licensed to you for use. Unless the statement of work expressly says otherwise, reusable platform code, generalized methods, and non-client-specific tooling remain Steinforth Studio IP; your firm-specific data, standards, and content remain yours.
You may not use the Software for unlawful purposes, to process data you have no right to process, to violate third-party provider terms, or to misrepresent AI-generated output as sealed professional work product.
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF OUTPUT, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY CONTAIN ERRORS AND MUST BE INDEPENDENTLY VERIFIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEINFORTH STUDIO'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS CAPPED AT THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR PROFESSIONAL-LIABILITY CLAIMS ARISING FROM RELIANCE ON UNREVIEWED OUTPUT.
You will defend and indemnify Steinforth Studio against third-party claims arising from (a) data you uploaded or processed without the right to do so, (b) your violation of third-party provider terms, or (c) submission of unreviewed output for permit, bidding, or construction.
This license terminates automatically if you materially breach Sections 2, 3, or 10 and do not cure within 30 days of notice. On termination you must deactivate and delete your installations. Sections 4–5 and 11–13 survive.
This Agreement is the entire agreement regarding the Software and supersedes prior discussions. [ATTORNEY: governing law + venue — Nebraska, USA contemplated; confirm consumer-law carve-outs for EU customers via Polar MoR.] If a provision is unenforceable, the remainder stands. We may update these terms for future versions; the terms you accepted govern the version you licensed.
